Terms of service

01The agreement

These terms are between you (or the business you act for) and Digital Infinity Group LLC ("we", "us"), which operates Gladpaid. By creating an account you accept them, together with the privacy policy and the data processing terms at /legal/dpa.

They are governed by the laws of the State of California, USA, and disputes go to the courts there, unless the law where you are says otherwise.

02What the service does

Gladpaid reads public blockchain data and your accounting records, proposes accounting entries, and posts the entries you approve (or, if you switch it on, high-confidence entries automatically).

It is a bookkeeping subledger. Your accounting system remains the books of record.

03What the service never does

We never take custody of funds, never hold, route or move money, and never hold keys or signing authority. Payments go directly from your customers to wallets you control.

We never ask for a private key or recovery phrase, and refuse one if it is submitted.

We do not issue any token, points or other tradable or convertible instrument.

04Not accounting, tax or legal advice

The service presents accounting treatments, explains how published standards and guidance treat them, and cites the sources. It does not give accounting, tax or legal advice and is not a substitute for your accountant's judgement.

Which treatment your business applies is your decision, or your accountant's. You remain responsible for your books, your filings and your tax position.

05Accounts and security

Keep your credentials safe. Two-factor sign-in is required for every user.

You may only connect ledgers and add wallet addresses that you, or the business you act for, are authorised to use. You confirm that each watched address belongs to that business.

You are responsible for the people you invite and the roles you give them.

06Your responsibilities

Review proposed entries before they are posted, unless you have switched on automatic posting for high-confidence matches.

Tell us promptly if you believe an entry we posted is wrong; undo is available in the app.

Do not use the service unlawfully, attempt to access another business's data, probe or disrupt the service, or resell it except under the firm plan.

07Third-party services

The service depends on QuickBooks Online, Xero, blockchain networks, blockchain data providers and price providers. We are not responsible for their availability, their errors or changes they make, though we will work to limit the effect on you.

Blockchain data can be reorganised or delayed; entries are only prepared once a transfer is final under that network's rule.

08Fees

Plans are billed monthly in advance. Metered usage above the included transactions is billed in arrears at the end of each billing period at your plan's published rate.

Trials last 14 days and need no card. If a trial ends without a plan, the business becomes read-only for 30 days, then watching pauses and the ledger is disconnected, and data is deleted after 90 days with notice.

If a payment fails, you keep full access for 7 days while it is retried; after that, posting and exports pause until it is resolved.

Cancelling stops the next renewal; access continues to the end of the paid period. Fees already paid are not refunded except where the law requires. Prices exclude taxes, which are added where applicable.

We may change prices with at least 30 days' notice by email before your next renewal.

09Your data

Your data is yours. You give us the rights we need to process it to provide the service, as described in the privacy policy and the data processing terms.

You can export everything at any time. Entries already posted to your ledger stay there if you leave.

10Availability and changes

We aim to keep the service available and publish its status at /status, but do not promise uninterrupted operation.

We may improve or change features. We will not remove a feature you pay for without reasonable notice.

11Liability

The service is provided as is, to the extent the law allows. To the extent the law allows, our total liability is limited to the fees you paid in the twelve months before the claim, and we are not liable for indirect or consequential loss, lost profits or lost data that could have been exported.

Nothing in these terms limits liability that cannot be limited by law.

12Ending the agreement

You may cancel at any time in the billing portal, and delete a business in settings. We may suspend or end an account that breaks these terms or the law, with notice where we can give it.

After termination your data remains exportable for 30 days and is deleted after 90 days, except records we must keep by law.

13Changes to these terms

We will email account owners at least 30 days before a material change takes effect. Continuing to use the service after that date means you accept the change.
